Our website, located at www.LifeStarr.com (the "Site"), our Community (the “Community”) located at community.lifestarr.com, and our web application located at app.lifestarr.com (the "App"), are provided by WorkStarr, Inc., d/b/a LifeStarr (“LifeStarr”, "we," "our," or "us"), to the person accessing the Site and/or Community and/or the App either individually or on behalf of a company or other legal entity ("you," "your," or “user”).  If you accept or agree to these Terms of Use (“Terms”) on behalf of a company or other legal entity, you represent and warrant that (i) you have the authority to bind that company or other legal entity to these Terms; (ii) you have read and understand these Terms; and (iii) you agree to these Terms on behalf of the party that you represent; and, (iv) in such event, “you,” “your,” and “user” will refer and apply to that company or other legal entity. These Terms are the terms upon which we grant you access to and use of our proprietary services (the "Service") through the Site, Community, and the App. You may use the Site, Community, the Service, or the App only if you can form a legally binding contract with LifeStarr. By clicking "I Agree" or by accessing or otherwise using the Service, you agree to and to be bound by these Terms.  If you do not agree to these Terms or cannot be legally bound to these Terms, do not access or use the Service, the Site, the Community, or the App.  We may change these Terms from time to time without notice and with immediate effect by posting the new version on our Site, Community, and/or App, as applicable. Your use of any the Service, the Site, the Community, or the App after the effective date of such changes constitutes your acceptance of any such changes on a going forward basis.

These Terms include our Privacy Policy, which is hereby incorporated by reference ("Privacy Policy").  Please read the Privacy Policy, as it explains how we handle any personal information we receive from you. By accessing or using our Service, the Site, the Community, or the App, you hereby agree to the Privacy Policy, and acknowledge that any information you transmit to us (via the App, the Site, the Community, the Service or otherwise), including questions, comments, or feedback, will be treated as non-confidential and non-proprietary to you. 

  1. Use of the Site; Limited License to use the Service.
The information and materials on the Site, the Community and the App are for general informational purposes and use of the Service. You may not use, reproduce or distribute the text, graphics, downloads, tools or any other content on the Site, the Community, or the App for any other purpose. You may not copy or modify the Site, App or Service for any purpose, reverse engineer, decompile, modify, translate, disassemble or discover the source code for all or any portion of the Site, the Community, the App or the Service, or distribute, disclose, market, rent, lease or otherwise transfer the Site, the Community, the App or the Service to any other person or entity. We reserve the right, in our sole discretion, to modify, discontinue or terminate, in part or it its entirety, the Site, the Community, the App, or any Service at any time and without prior notice.
To use certain features of the Site, the Community, the App, or the Service, you may be required to create an account. You are solely responsible for the information associated with your account, including your password, and you must maintain the security of your account. Subject to your compliance with these Terms, LifeStarr hereby grants you a limited, personal, non-exclusive, non-transferable, license to access and use the App, the Community, and/or the Site, as applicable, and to access Service solely for your own personal purposes.  Except for the licenses and rights expressly granted under these Terms, no licenses or rights are granted by LifeStarr to user hereunder, by implication, estoppel or otherwise.  LifeStarr reserves all rights to such other licenses and rights.
  1. User Submitted Content.
“User Content” means proprietary data, images or other content uploaded to the Service through the App, the Site, the Community, or otherwise used in connection with the user’s use of the Service. User (or its licensors) shall own and continue to own all right, title and interest in and to the User Content. You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power and/or authority necessary to grant the rights granted herein for any User Content that you submit, post or display on or through the Services, Site, Community, or App. User hereby grants to LifeStarr a world-wide, royalty-free license to access, use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute the User Content in connection with the provision of the Service to you and others, and as otherwise set forth herein and in the Privacy Policy. 
Users may communicate with other users about tasks via the messaging function of the Service. The Service may also generate emails for outside individuals in a user’s group, but who are not users of the Service.  LifeStarr may observe anonymized user sessions to assess user behavior, but all User Content will be redacted.
The Service may include interactive features that allow users to submit content to the Site the Community, and/or the App.  LifeStarr does not and cannot review all such content and is not responsible for such content. You acknowledge that by providing the ability to view and distribute your user-generated content on the Site, the Community, and/or the App, LifeStarr is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability related thereto. Notwithstanding the above, LifeStarr reserves the right to block or remove content, communications, or materials that it determines to be unacceptable to LifeStarr in its sole discretion. Users not paying a subscription fee will be subject to 5GB limit.  
Harassment in any manner or form on the Site, Community, and/or the App, including via e-mail, chat, or by use of obscene or abusive language, or posting any obscene or abusive images or text, is strictly forbidden. Impersonation of others, including a LifeStarr employee, host, or representative, or other users on the Site, the Community, or App, is prohibited. You may not upload to, distribute, or otherwise publish through the Site, the Community, or the App any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law.
  1. Notice; Electronic Communications.

When you use the Site, the Community, or App or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the Site, the Community, and/or App, as applicable. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

  1. Privacy.

You hereby agree to the Privacy Policy. Any personal data (for example, your name, address, telephone number or e-mail address) that you transmit to the Site, the Community, or App or by electronic mail or otherwise (including via use of the Service) will be used by LifeStarr in accordance with these Terms and the Privacy Policy. Any other communication or material you transmit to the Site, the Community, or App (including via use of the Service), such as questions, comments, feedback, suggestions and the like, will be treated as non-confidential and non-proprietary to you.

  1. No Sensitive Data.

You shall not submit to the Service, the Site, the Community, or the App any data that is protected under a special legislation and requires a unique treatment unless it is expressly supported as a feature of the Site, Community, App, or Service, including, without limitations, (a) categories of data enumerated in European Union Regulation 2016/679, Article 9(1) or any similar legislation or regulation in other jurisdiction; (b) any protected health information subject to the Health Insurance Portability and Accountability Act (“HIPAA”), as amended and supplemented, or any similar legislation in other jurisdiction; and (c) credit, debit or other payment card data subject to PCI DSS or any other credit card schemes.

  1. Disclaimer.
THE SITE, THE COMMUNITY, AND THE APP, AND THEIR RESPECTIVE CONTENT, MATERIALS, SERVICE AND PRODUCTS ARE PROVIDED "AS IS" AND ON AN “AS AVAILABLE” BASIS.  TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, LIFESTARR, AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.
LifeStarr does not represent or warrant that (a) the Service or access to the Site, Community, or the App will be uninterrupted or error-free, (b) that defects will be corrected, (c) that the App is compatible or will work with any third party software, applications or services, or (d) that the Site, the Community, the App, or the server that makes the Site, the Community and/or App available are free of viruses or other harmful components. LifeStarr does not make any warranties or representations regarding the use of the materials and Service provided via the Site, the Community or the App. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.
  1. Indemnification.

You agree to indemnify, defend, and hold harmless LifeStarr, its subsidiaries, affiliates, officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Site, the Community, the App or the Service using your account and/or credentials.

  1. Limitations of Liability.

YOUR USE OF THE SITE, THE COMMUNITY, THE APP AND THE SERVICE IS AT YOUR OWN RISK. NEITHER LIFESTARR, NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS DIRECTORS, OR EMPLOYEES, NOR ANY OF ITS AGENTS, LICENSORS, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE, THE COMMUNITY, THE APP AND/OR THE SERVICE, OR THE RELATED CONTENT, ARE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, ANY LOSS OF REVENUE OR PROFITS OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE, THE COMMUNITY, THE APP OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. In no event shall LifeStarr’s total liability to you for all damages exceed $100.00. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.

  1. Third-Party Links.

We may link to third party sites to provide complimentary services or information. These sites may have separate privacy and data collection practices, independent of LifeStarr. These linked sites are provided for your convenience, and you access them at your own risk. We are not responsible for the activities and practices that take place on these sites or applications. Accordingly, we recommend that you review any terms and privacy policy posted on any external site before disclosing any personal information. Please contact those sites and applications directly if you have any questions about their privacy policies or other terms. LifeStarr does not endorse the content, or any products or services available on such sites or applications, nor is liable for any such use of those third-party sites or applications.

  1. Trademarks and Copyright.

All content included on the Site, the Community, and the App, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of LifeStarr or its content suppliers and protected by United States and international copyright laws. All software used on the Site, the Community, and the App is the property of LifeStarr or its software suppliers and protected by United States and international copyright laws.  You agree not to change or delete any proprietary notices from materials printed or downloaded from the Site, the Community, or the App.

  1. Export Control.
Software and other materials downloaded or otherwise made available from the Site, the Community, or the App may be subject to United States Export Control. The United States Export Control laws prohibit the export of certain technical data and software to certain territories.
LifeStarr does not authorize the downloading or exportation of any software or technical data from the Site, the Community, or the App to any jurisdiction prohibited by the United States Export Control Laws.
  1. Governing Law and Jurisdiction.

These Terms, and your use of the Site, the Community, the App and the Service, are governed by the laws of the State of Delaware, without regard to its choice of law provisions. The courts of general jurisdiction located within Boston, Massachusetts, will have exclusive jurisdiction over any and all disputes arising out of, or relating to these Terms, the Site, the Community, the App and/or the Service.

  1. Force Majeure.

LifeStarr shall not be liable hereunder by reason of any failure or delay in the performance of its obligations on account of strikes, shortages, riots, insurrections, fires, pandemic or outbreak of disease, floods, storms, explosions, pandemics, acts of God, acts of terrorism, war, governmental action, earthquakes, or any other cause that is beyond its reasonable control.

  1. Assignment.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. LifeStarr may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

  1. Term and Termination.

Your access to the App and/or the Site and/or the Community and the Service shall begin on the date you register for the Service and shall continue until terminated as set forth herein. LifeStarr may terminate your use of the Service at any time. You may terminate your use of the Service at any time by cancelling your account for the Service and uninstalling the App. Upon any such termination, your license rights shall promptly cease, and you shall promptly cease all use of the Service and uninstall the App. Unless LifeStarr terminates your use for convenience (and not due to your breach of these Terms or as otherwise allowable by these Terms), you shall not be owed any credit or refund of pre-paid amounts, or a waiver of agreed upon subscription fees.

  1. Suspension.

We may suspend or terminate your account or cease providing you with all or part of the Services at any time for any or no reason, including, but not limited to, if we reasonably believe: (i) you have violated these Terms or the Privacy Policy, (ii) you create risk or possible legal exposure for us; (iii) your account should be removed due to unlawful conduct, (iv) your account should be removed due to prolonged inactivity; or (v) our provision of the Services to you is no longer commercially viable. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account, depending on the circumstances.

  1. Severability.

If any provision of these Terms is determined to be unenforceable or invalid by applicable law or court decision, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole and, in such event, such provision shall be changed and interpreted so as to best accomplish the objectives of such provision within the limits of applicable law or court decision.

  1. Entire Agreement.

These Terms constitute the entire and exclusive understanding and agreement between LifeStarr and you regarding the Site, the Community, the App and the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between LifeStarr and you regarding the Site, the Community, the App, and the Service.

  1. Questions and Feedback.

We welcome your questions, comments, and concerns about the Site, Community and/or the App. Please send us any and all feedback pertaining to the Site to info@lifestarr.com.
